Company Registration Dubai
Company Registration Dubai with Al Hadaf Al Masi helps founders, investors and existing businesses choose and complete the right UAE company setup route. We support mainland, Dubai free-zone and offshore structures, with the jurisdiction selected according to your business activity, target market, ownership, office, visa and operational requirements.
Company Registration in Dubai – Overview
Al Hadaf Al Masi’s current service page presents three main setup routes: mainland, free zone and offshore. Dubai mainland companies are registered and licensed through Dubai Department of Economy & Tourism (DET) / Invest in Dubai. Free-zone companies are registered with the relevant free-zone authority, and Dubai has more than 20 free zones with different sector, office, visa and cost structures. Offshore companies are a separate structure; for example, JAFZA Offshore registration must be processed through a JAFZA Registered Agent and is commonly used for holding and international business purposes rather than ordinary mainland operations.
Mainland vs Free Zone vs Offshore
| Jurisdiction | Best Used For / Key Point |
| Dubai Mainland | Businesses that want to operate broadly in the UAE market; DET manages registration and licensing. 100% foreign ownership is available for many activities, subject to restrictions for certain strategic/regulatory sectors. |
| Dubai Free Zone | Sector-focused setup with 100% foreign ownership. Each free zone has its own authority, legal forms, licence packages, office solutions and visa rules. Mainland activity may require the relevant mainland licence/branch/approval. |
| JAFZA Offshore | Primarily for holding, international trade and similar offshore purposes. Registration must be handled through a JAFZA Registered Agent; this is not the same as an operating mainland or free-zone licence. |

Important Tax Note for Free Zones
Free-zone setup should not be marketed as automatically ‘tax free’. Under the UAE Corporate Tax framework, a Qualifying Free Zone Person may benefit from a 0% Corporate Tax rate on Qualifying Income, while non-qualifying taxable income can be subject to the standard 9% rate. Corporate Tax registration and compliance requirements should be reviewed separately.
Processing Time
There is no single end-to-end company-registration time that applies to all Dubai businesses. Invest in Dubai lists a normal mainland trade-licence transaction at about 10 minutes once all prerequisites are complete, while an instant licence can be issued in about 5 minutes for eligible activities. UAE Government guidance states many free-zone licences can be issued within 14 working days after review and approval. JAFZA currently lists 5–7 working days for a new offshore-company registration. Preparation time for trade name, MOA, premises, corporate shareholder documents or external approvals must be added.
How Company Registration Works
- Define the business activities, target market and ownership structure.
- Choose mainland, the most suitable free zone, or an offshore structure.
- Select the legal form and reserve the trade name.
- Obtain initial and external approvals where required.
- Prepare the MOA / constitutional documents and office or registered-address arrangement.
- Pay the official setup fees, receive the licence/certificate, and complete post-registration steps such as establishment card, visas, tax registration and banking where applicable.

Important Limitations
- Not every activity permits 100% foreign ownership; certain strategic or regulated activities may have restrictions.
- Free-zone companies do not automatically have unrestricted mainland trading rights; the applicable mainland licence, branch, distributor or approval route must be checked.
- 0% Corporate Tax is not automatic for every free-zone company; it depends on Qualifying Free Zone Person and Qualifying Income conditions.
- An offshore company is not the same as an ordinary operating mainland or free-zone company.
- Regulated activities such as healthcare, aviation, education, financial services, food, insurance and other sectors can require additional approvals.
